Terms of Service

These Terms set out the agreement between you and ClientNest365. They're written in plain English on purpose.
1. Who this agreement is with
ClientNest365 is operated by Forge Workflow Holdings ([to be set before deploy]), registered company number [to be set before deploy], at [to be set before deploy]. In this document “we,” “us,” and “our” mean Forge Workflow Holdings. “You” and “your” mean the person or organisation using ClientNest365.
2. What you're agreeing to
By creating an account, buying client slots or add-ons, or using any part of ClientNest365, you agree to these Terms, our Privacy Policy, and our Acceptable Use Policy. If you don't agree, don't use the service.
3. Eligibility
You need to be at least 18 and authorised to bind the organisation you're signing up for. If you create an account on behalf of a company, you confirm you can do so.
4. Your account
- You're responsible for keeping your login details safe.
- You're responsible for what happens under your account.
- You must tell us at security@clientnest365.com if you think someone else has accessed your account.
5. What you can buy
ClientNest365 sells client slots (in packs of 3, 10, 25, 50, 100, or annual unlimited), storage add-ons, custom branding, and a custom domain. All of these are one-off purchases. We also offer an optional monthly Agency Plan. You never have to subscribe to use ClientNest365.
Slot packs (except the unlimited annual) don't expire. The unlimited annual pack expires 12 months after purchase. Add-ons attached to your workspace remain active for as long as you keep your workspace open.
6. Payment
Payment is handled by a PCI-compliant payment processor (named on the Privacy page once selected). We accept card payments, Apple Pay, Google Pay, and SEPA Direct Debit (for EU customers). Prices on the site are exclusive of VAT for B2B EU customers who provide a valid VAT ID; reverse-charge handling applies at checkout. Other customers see VAT-inclusive prices where applicable.
7. Refunds
Refund terms are set out in our Refund Policy, which is part of these Terms.
8. Acceptable use
You agree to use ClientNest365 in line with our Acceptable Use Policy. We can suspend or terminate your account if you breach it.
9. Your content
You keep all rights to the content you upload to ClientNest365. You grant us a limited, non-exclusive licence to store, process, and serve that content for the purpose of operating the service. We don't use your content to train AI models. We don't sell it. We don't share it with third parties except where it's necessary to operate the service (see the Privacy Policy for the full list of sub-processors).
10. Our content
ClientNest365's software, design, and brand are ours. You can't copy, reverse-engineer, or rebrand the service.
11. Service availability
We aim for high availability but don't guarantee 100% uptime. Planned maintenance is announced in advance where possible. Unplanned outages get an incident report on status when published.
12. Termination
You can close your account at any time from your workspace settings. We can suspend or close accounts that breach these Terms or the Acceptable Use Policy. On termination, unused slots within the 14-day refund window are refundable per the Refund Policy. After 30 days of account closure, we permanently delete your workspace data, except where retention is required by law.
13. Limitation of liability
To the extent permitted by law, our total liability to you for any claim under these Terms is capped at the amount you've paid to us in the 12 months before the claim arose. We don't accept liability for indirect, consequential, or loss-of-profit damages. Nothing in this clause limits liability where the law doesn't permit it (e.g. for death or personal injury caused by negligence).
14. Changes
We may update these Terms. If the changes are material, we'll email account holders at least 30 days before they take effect. Continued use of ClientNest365 after the effective date counts as acceptance.
15. Governing law
These Terms are governed by the law of [to be set before deploy]. Any dispute is subject to the exclusive jurisdiction of the courts of [to be set before deploy].
